1. About UI Academy
Uplift International Academy Co., Ltd. (“UI Academy,” “we,” “us,” or “our”) is a company based in Bangkok, Thailand. We provide services under five main areas:
1. Project Management services
2. Consulting & Advisory services
3. Training & Capacity Building services
4. Courses, short courses, coaching, and online learning programs
UI Academy’s work is grounded in practical delivery, partnership, and measurable impact. We support individuals, organizations, businesses, NGOs, public-sector bodies, and community partners through non-formal learning, advisory support, project services, and implementation support.
2. Scope and Application of These Terms
These Terms & Conditions apply to all quotations, proposals, service agreements, purchase orders, bookings, registrations, invoices, online payments, and service engagements between UI Academy and the client, organization, participant, learner, sponsor, or partner receiving the service.
These terms may be supplemented by:
• A quotation
• A proposal
• A statement of work
• A service agreement
• A memorandum of understanding
• A course outline
• An event brief
• A project implementation plan
• Specific program terms
• A privacy notice or consent form
If there is a conflict between these general terms and a signed written agreement, the signed written agreement shall prevail to the extent of the conflict.
3. Definitions
For clarity:
• “Client” means the individual, company, organization, institution, or partner purchasing or receiving services from UI Academy.
• “Participant” or “Learner” means an individual attending a training, course, workshop, coaching session, or learning activity.
• “Services” means all services provided by UI Academy, including project management, consulting, event management, training, courses, coaching, learning support, digital content, and related services.
• “Deliverables” means outputs agreed in writing, such as reports, plans, training materials, event outputs, presentations, project documents, tools, templates, or advisory notes.
• “Fees” means the service fees, course fees, event fees, or other charges payable to UI Academy.
4. General Service Terms
4.1 Professional Standard
UI Academy will perform services with reasonable skill, care, professionalism, and diligence, consistent with the agreed scope, timeline, and available information.
4.2 Client Cooperation
The client agrees to provide timely information, access, approvals, documents, feedback, and decisions necessary for UI Academy to perform the services.
If delays are caused by missing information, late approvals, unavailable stakeholders, or changes requested by the client, UI Academy may adjust the timeline, fees, or deliverables accordingly.
4.3 No Guaranteed Outcomes
UI Academy commits to providing professional services and support. However, unless expressly stated in a signed agreement, we do not guarantee specific business results, funding approval, exam results, employment outcomes, visa outcomes, sales revenue, project impact, or third-party decisions.
4.4 Third-Party Decisions
Where outcomes depend on third parties, including government authorities, donors, employers, exam providers, venues, vendors, partners, or platforms, UI Academy is not responsible for decisions, delays, refusals, or actions taken by those third parties.
5. Project Management Services
5.1 Scope of Project Management Services
UI Academy may provide project management outsourcing and delivery support, including:
• Project planning
• Work planning and scheduling
• Coordination with stakeholders
• Budget and resource tracking
• Risk and issue management
• Monitoring and reporting
• Vendor or partner coordination
• Meeting facilitation
• Documentation
• Project close-out support
The exact scope will be stated in the quotation, proposal, agreement, or statement of work.
5.2 Client Responsibilities
The client remains responsible for:
• Strategic decisions
• Final approvals
• Legal obligations
• Regulatory compliance specific to the client’s sector
• Internal stakeholder management
• Providing accurate and timely information
• Paying vendors, contractors, government fees, or third-party costs unless otherwise agreed
5.3 Authority to Act
UI Academy will not enter into binding commitments, sign contracts, incur expenses, or make legal or financial commitments on behalf of the client unless expressly authorized in writing.
5.4 Project Changes
Any changes to scope, timeline, deliverables, budget, or project assumptions must be agreed in writing. Additional work may require additional fees.
5.5 Project Risks
UI Academy will support risk identification and mitigation. However, the client acknowledges that projects may be affected by external risks, stakeholder decisions, funding delays, procurement issues, regulatory matters, or force majeure events.
6. Consulting & Advisory Services
6.1 Scope of Consulting & Advisory Services
UI Academy may provide consulting and advisory services, including:
• Strategy development
• Organizational development
• Program design
• Operational improvement
• Business planning
• Education and training strategy
• Partnership development
• Monitoring and evaluation support
• Research, needs assessments, and analysis
• Policy, process, and system recommendations
The exact scope and deliverables will be agreed in writing.
6.2 Advisory Nature of Services
Consulting and advisory services are provided to support decision-making. Final decisions and implementation remain the responsibility of the client.
6.3 No Legal, Tax, Financial, or Licensed Professional Advice
Unless specifically agreed and provided by appropriately licensed professionals, UI Academy does not provide legal, tax, accounting, investment, medical, immigration, or regulated professional advice.
Where such advice is required, the client should consult a qualified professional in the relevant jurisdiction.
6.4 Use of Recommendations
The client is responsible for assessing whether UI Academy’s recommendations are suitable for its circumstances before implementation.
6.5 Data and Assumptions
UI Academy’s advice may rely on information provided by the client or third parties. UI Academy is not responsible for errors or limitations caused by inaccurate, incomplete, outdated, or misleading information supplied to us.
7. Training
& Capacity Building Services
7.1 Scope of Training
Services
UI Academy provides non-formal, non-accredited training and capacity-building services, including:
• Workshops
• Short courses
• Bootcamps
• Coaching sessions
• Mentoring
• Team development programs
• Leadership and professional development programs
• Language training
• Custom organizational training
• Online and blended learning programs
7.2
Non-Formal and Non-Accredited Nature
UI Academy’s training programs are non-formal and non-accredited unless expressly stated otherwise in writing.
UI Academy does not operate as a formal school, university, college, or accredited educational institution. UI Academy does not issue government-recognized diplomas or degrees.
Where external certification is available, it is provided by the relevant authorized exam body or third-party provider, not by UI Academy.
7.3 Learning Outcomes
UI Academy designs training to support practical learning and skill development. However, learning outcomes depend on participant attendance, effort, practice, prior knowledge, and other individual factors.
UI Academy does not guarantee exam results, job outcomes, visa outcomes, promotion, salary increase, or any specific personal or professional result.
7.4 Participant Conduct
Participants must:
• Attend sessions punctually
• Participate respectfully
• Complete assigned activities honestly
• Respect trainers and other participants
• Avoid harassment, discrimination, or disruptive behavior
• Use learning materials only for personal or internal organizational use
UI Academy may remove participants who breach this standard, without refund where appropriate.
7.5 Attendance and
Completion
Attendance requirements, completion criteria, assessments, or participation certificates may vary by program and will be communicated in the course outline or program information.
A certificate of participation, if issued, confirms participation or completion of UI Academy’s non-formal training only. It is not a government-recognized qualification.
8. Courses, Short Courses, and Online Learning
8.1 Course Registration
Course registration is confirmed only after:
• The participant submits the required registration information
• UI Academy receives payment or approved payment confirmation
• UI Academy sends written confirmation of enrollment
8.2 E-Learning Access
Where a course includes e-learning access:
• Access credentials are personal and non-transferable
• Participants must not share login details
• Access is granted for the stated course period or access period
• UI Academy may suspend access for misuse, non-payment, or breach of terms
8.3 Live Online Classes
For live online classes, participants are responsible for having:
• A stable internet connection
• A suitable device
• A working microphone and, where needed, camera
• A quiet learning environment
UI Academy is not responsible for technical issues on the participant’s side.
8.4 Course Materials
Course materials are provided for personal learning only. Participants may not copy, sell, upload, share, distribute, record, or reproduce course materials without written permission from UI Academy.
8.5 Recordings
Where sessions are recorded, recordings are made for learning support and internal quality purposes. Recordings must not be shared outside the enrolled group.
By joining a recorded session, participants consent to being included in the recording unless they inform UI Academy in advance and keep their camera off where possible.
8.6 Course Changes
UI Academy may update course content, trainer assignments, schedules, platforms, or materials when reasonably necessary. We will inform participants of material changes as soon as practical.
9. Fees, Payment, and
Taxes
9.1 Fees
Fees will be stated in the quotation, invoice, booking page, proposal, or agreement.
Unless otherwise stated, fees are quoted in Thai Baht and are exclusive of third-party costs, government fees, travel expenses, venue costs, printing, accommodation, translation, interpretation, or special equipment.
9.2 Payment Terms
Payment terms will be stated in the quotation or invoice. If no specific payment term is stated, payment is due within 7 calendar days from the invoice date.
UI Academy may suspend work, withhold deliverables, or delay access to courses or platforms if payment is overdue.
9.3 Taxes
Fees are subject to applicable Thai taxes, including VAT where required by law. Withholding tax, if applicable, must be handled in accordance with Thai tax rules and properly documented by the client.
9.4 Late Payment
If payment is late, UI Academy may charge reasonable administrative costs or interest where permitted by law and stated in the quotation or agreement.
10. Cancellations, Rescheduling, and Refunds
10.1 Services
and Consulting Engagements
For project management, consulting, advisory, and event-related work:
• Fees for work already completed are non-refundable.
• The client must pay all approved expenses and non-refundable third-party costs.
• If the client cancels after work has started, UI Academy may charge for work completed up to the cancellation date.
10.2 Training and Courses
Unless a specific course policy states otherwise:
• Cancellation more than 28 days before start date: full refund less payment processing fees and any non-refundable costs.
• Cancellation 14–28 days before start date: 50% refund.
• Cancellation less than 14 days before start date: no refund.
• No refund after the course or program has started.
10.3 Rescheduling
Rescheduling requests are subject to availability and must be made in writing.
UI Academy will make reasonable efforts to accommodate rescheduling but cannot guarantee availability.
10.4 No-Show
No refund is provided for no-shows, missed sessions, or failure to use services after confirmation.
11. Intellectual Property
11.1 UI Academy Materials
All training materials, templates, tools, frameworks, course content, presentations, reports, workbooks, recordings, designs, and methodologies developed or provided by UI Academy remain the intellectual property of UI Academy unless otherwise agreed in writing.
11.2 Client Materials
Materials provided by the client remain the property of the client. The client grants UI Academy permission to use such materials only for the purpose of delivering the agreed services.
11.3 Use of Deliverables
Upon full payment, the client may use final deliverables for its internal business or organizational purposes.
The client may not resell, redistribute, publish, license, or commercially exploit UI Academy deliverables without prior written consent.
11.4 Pre-Existing Tools
UI Academy may use pre-existing tools, templates, frameworks, and know-how in delivering services. These remain the property of UI Academy and are not transferred to the client.
12. Confidentiality
Both parties agree to keep confidential information private and not disclose it to third parties, except where:
• Disclosure is required by law
• Disclosure is necessary to deliver the services
• The information is already public
• The other party gives written consent
This obligation continues after the service engagement ends.
13. Personal Data and
Privacy
UI Academy may collect and process personal data such as names, contact details, job titles, learning records, attendance records, payment details, and communication history for the purpose of delivering services.
UI Academy will handle personal data in accordance with applicable Thai personal data protection laws, including the Personal Data Protection Act B.E. 2562 where applicable.
Clients are responsible for ensuring that any personal data they provide to UI Academy has been collected and shared lawfully.
14. Publicity and Use of
Name
UI Academy may not publicly use the client’s name, logo, photographs, testimonials, or case study details without prior consent, unless the information is already publicly available or agreed in writing.
For events, training, or programs, photo and video consent should be collected separately where needed.
15. Compliance Boundaries
15.1 No Formal
Education Representation
UI Academy provides non-formal, non-accredited training, courses, workshops, coaching, and capacity-building services.
We do not represent our programs as formal education, school education, university education, accredited degrees, or government-recognized qualifications.
15.2 No
Recruitment or Job Placement
UI Academy is not a licensed recruitment or employment agency.
We do not provide recruitment services, job placement, employer matching, guaranteed employment, visa services, migration services, or legal representation.
Where UI Academy provides career readiness, language training, coaching, or international pathway information, such support is educational and advisory only. Employment, visa, migration, and regulatory outcomes are decided by third parties and relevant authorities.
15.3 WINGS Learner Support
Where WINGS or any learner support initiative is referenced, such support is subject to eligibility, funding availability, and separate terms. WINGS is not guaranteed and does not include recruitment, job placement, visa services, migration guarantees, or legal representation.
16. Limitation of
Liability
To the fullest extent permitted by Thai law:
• UI Academy’s total liability shall not exceed the total fees paid by the client or participant for the relevant service.
• UI Academy is not liable for indirect, incidental, special, punitive, or consequential loss.
• UI Academy is not liable for loss of profit, loss of business, loss of opportunity, loss of employment, visa refusal, exam failure, third-party decisions, platform downtime, or delay caused by external factors.
• Nothing in these terms limits liability that cannot be limited under applicable law.
17. Indemnity
The client agrees to indemnify UI Academy against claims, losses, damages, costs, or expenses arising from:
• Client-provided inaccurate information
• Breach of these terms
• Misuse of UI Academy materials
• Unlawful use of deliverables
• Third-party claims caused by the client’s actions or omissions
• Failure to obtain required permissions, licenses, or consents
18. Force Majeure
UI Academy is not liable for failure or delay caused by events beyond reasonable control, including natural disasters, pandemic restrictions, government actions, internet outages, cyber incidents, strikes, venue closures, supplier failure, transport disruption, civil unrest, or other force majeure events.
Where possible, UI Academy will make reasonable efforts to reschedule, adapt, or provide alternative delivery.
19. Termination
Either party may terminate a service engagement if the other party materially breaches these terms and does not remedy the breach within a reasonable period after written notice.
UI Academy may terminate or suspend services immediately if:
• Payment is overdue
• The client or participant behaves abusively, unlawfully, or disruptively
• Continued service would create legal, compliance, safety, or reputational risk
• The client requests work outside UI Academy’s lawful or ethical scope
Upon termination, the client must pay for all work completed, approved expenses, and non-refundable third-party costs up to the termination date.
20. Governing
Law and Dispute Resolution
These Terms & Conditions are governed by the laws of the Kingdom of Thailand.
The parties agree to first attempt to resolve disputes through good-faith discussion.
If the dispute cannot be resolved, it shall be submitted to the competent courts of Bangkok, Thailand, unless otherwise agreed in writing.
21. Language
These Terms & Conditions may be provided in English and Thai. If there is any inconsistency between versions, the version stated in the signed agreement shall prevail. If no version is specified, the English version shall be used for interpretation, unless Thai law requires otherwise.
